Terms of Service

These Terms of Service ("Terms") govern your access to and use of GiftDesk ("Service"), operated by TalkyTools ("we", "us"). GiftDesk is provided to FNP and authorised partner organisations to help their internal sales and procurement teams build corporate gifting catalogues. By using the Service, you agree to be bound by these Terms.

1. Eligibility & accounts

Access is granted by your organisation's super admin. You are responsible for keeping your credentials confidential and for all activity on your account. Sharing accounts is not permitted.

2. Acceptable use

You agree not to:

• Use GiftDesk to send unsolicited bulk email or content that violates Indian law or Google's Gmail policies.
• Resell, sublicense, or expose the Service to third parties outside your organisation without written consent.
• Reverse-engineer, scrape, or attempt to bypass authentication or rate limits.
• Upload malicious code, infringing material, or content you do not have rights to use.

3. Your content

You retain ownership of client lists, presentations, and emails you create in GiftDesk. You grant us a limited licence to host, process, and display this content solely to operate the Service for you. Generated PowerPoint decks may include product details and images sourced from fnp.com — these belong to FNP / their respective owners and you are responsible for using them in line with FNP's commercial terms.

4. Email sending via Gmail

When you authorise Gmail send, emails are sent from your Google account using your own quota. You are solely responsible for the content and recipients of those emails. We do not store the content of replies.

5. Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance windows, outages of upstream providers (AWS, Google, fnp.com) and rare data loss events may occur. We are not liable for indirect or consequential damages.

6. Pricing & billing

GiftDesk is currently provided to FNP under an internal arrangement. If GiftDesk is later offered on a paid plan, pricing and billing terms will be communicated in advance and added to a separate Refund & Cancellation Policy.

7. Termination

Your organisation's super admin can disable your account at any time. We may suspend or terminate accounts that violate these Terms, attempt to abuse the system, or risk our compliance with law. On termination you may request export of your data within 30 days.

8. Changes

We may update these Terms. Material changes will be notified in-app and via email at least 30 days in advance.

9. Governing law

These Terms are governed by the laws of India. Any dispute will be resolved in the courts of New Delhi.
